We are seeking an experienced Company Secretary to join our team. The ideal candidate will have 1 to 2 years of experience, preferably with an IPO-based company. This role involves ensuring compliance with statutory and regulatory requirements and managing corporate governance.
Key Responsibilities:
• Adheres to legal and regulatory compliance by managing statutory records, facilitating board meetings, advising on corporate governance, maintaining shareholder relations, and acting as a key legal and administrative advisor to the management team; essentially serving as the Corporate Governance:
• Advising the board of directors on best practices in corporate governance, ensuring compliance with relevant regulations and company bylaws.
• Maintaining awareness of current corporate laws and regulations, ensuring the company properly files all necessary statutory documents and reports.
• Organizing and facilitating board meetings, shareholder meetings, and committee meetings, including preparing agendas, taking minutes, and distributing meeting materials.
• Maintaining accurate and up-to-date statutory records, including share register, company resolutions, and board minutes.
• Managing communication with shareholders, ensuring timely updates on company developments and addressing shareholder queries
• Handling administrative tasks related to board operations, such as preparing board papers, managing director appointments, and maintaining corporate seals.
• Preparing and submitting necessary regulatory filings to relevant authorities, including annual returns and other statutory reports.
• Identifying potential legal and compliance risks within the organization and recommending mitigation strategies.
